End User License Agreement (EULA) for the Aikido Club 13 App

- Acceptance of this Agreement
This End User License Agreement (“EULA” or “Agreement”) is a legal agreement between you (“User” or “You”) and IT’S A WRAP AB / Joachim von Rost (“Licensor”, “We”, “Us”), Björngårdsgatan 15, Stockholm, Sweden, regarding the use of the mobile application Aikido Club 13 (the “App”).
By downloading, installing, accessing or using the App, you agree to be bound by the terms of this EULA. If you do not agree to these terms, do not download, install or use the App. - License Grant
Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install and use the App on a compatible device that you own or control, solely for your personal, non-commercial use.
This license does not allow you to use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time. - License Restrictions
You agree not to:
- Copy, modify, adapt, translate, reverse engineer, decompile, disassemble or create derivative works based on the App or any part of it, except to the extent permitted by applicable law.
- Rent, lease, lend, sell, redistribute, sublicense or otherwise commercially exploit the App.
- Remove, alter or obscure any proprietary notices, including copyright and trademark notices, on the App.
- Use the App for any commercial purpose or for the benefit of any third party.
- Use the App in any unlawful manner or in any way that could damage, disable, overburden or impair the App.
- Attempt to gain unauthorized access to any systems or networks related to the App.
- Intellectual Property Rights
The App, including all content (videos, texts, images, graphics, design, software, and other materials), is and remains the exclusive property of the Licensor or its licensors.
All rights not expressly granted to you under this EULA are reserved by the Licensor.
The App is licensed, not sold, to you. You acquire no ownership rights in the App or any of its content. - Updates and Modifications
We may from time to time provide updates, upgrades or new versions of the App. Such updates may be automatic or require your consent. This EULA will govern any updates unless the update is accompanied by a separate license agreement.
We reserve the right to modify, suspend or discontinue the App, or any part of it, at any time without prior notice and without liability to you. - No Warranty
THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.
We do not warrant that the App will be uninterrupted, error-free, secure, or free of viruses or other harmful components.
You use the App at your own risk.
Aikido is a physical activity. The content in the App is for educational and informational purposes only. We make no claims regarding the safety or suitability of any techniques shown, and you assume all risk related to any physical practice based on the content. - Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR, ITS AFFILIATES, DIRECTORS, EMPLOYEES OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE APP, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS EULA OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID, IF ANY, FOR THE APP. SINCE THE APP IS PROVIDED FREE OF CHARGE, THIS AMOUNT IS ZERO.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not fully apply to you. - Termination
This EULA is effective until terminated by you or by us.
You may terminate it at any time by uninstalling the App and destroying all copies.
We may terminate this EULA, and your license to use the App, immediately and without notice if you fail to comply with any term of this Agreement. Upon termination, you must cease all use of the App and delete all copies from your devices.
Sections 3, 4, 6, 7 and 9 shall survive termination of this EULA. - Governing Law and Disputes
This EULA shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law principles.
Any dispute arising out of or in connection with this EULA shall first be attempted to be resolved amicably. If resolution is not possible, the dispute shall be submitted to the exclusive jurisdiction of the Swedish courts, with Stockholm District Court as the court of first instance.
